1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the donia® Industrial AI platform ("Service"), operated by Logikamente s.r.l., a company incorporated under Italian law, with registered office in Italy ("donia", "we", "us", or "our").

By creating an account, accessing the Service at donia.cloud, or clicking "Accept" or "I agree" during onboarding, you ("Customer", "you") agree to be bound by these Terms, our Privacy Policy, and any additional terms applicable to specific features or plans. If you are entering into these Terms on behalf of a legal entity, you represent that you have authority to bind that entity.

If you do not agree to these Terms, you must not access or use the Service.

2. The Service

donia® is a cloud-based Industrial AI platform that enables manufacturing and operations teams to connect factory data, orchestrate AI-powered workflows, and automate decisions across production, warehouse, and workforce processes. The Service includes, without limitation:

  • Workflow Builder — a visual node-based editor for designing and executing industrial automation workflows;
  • Document Intelligence — AI-driven extraction and processing of structured data from industrial documents (PDFs, orders, invoices);
  • Production & Scheduling — automated production order scheduling, bottleneck detection, and AI rescheduling;
  • Warehouse & Inventory — goods registration, AI replenishment forecasting, and route optimization;
  • Workforce & Labor Cost — labor cost analysis, timesheet allocation, and KPI dashboards;
  • APIs, integrations, and related developer tools;
  • Customer support and professional services as specified in your plan.

We reserve the right to modify, update, or discontinue features of the Service with reasonable prior notice, except where required by law or for urgent security reasons.

3. Account Registration and Security

To access the Service, you must register an account at donia.cloud. You agree to:

  • Provide accurate, current, and complete registration information;
  • Maintain and promptly update your account information;
  • Keep your login credentials confidential and not share them with third parties;
  • Notify us immediately at security@donia.ai of any unauthorized use of your account or any other breach of security;
  • Take full responsibility for all activities that occur under your account.

Each subscription entitles a defined number of user seats as specified in your plan. You may not use a single account to serve multiple organizations unless explicitly permitted under an enterprise or multi-tenant arrangement agreed in writing.

We reserve the right to suspend or terminate accounts where we have reasonable grounds to believe that registration information is false or that account activity violates these Terms.

4. Subscription Plans and Pricing

The Service is offered under several subscription tiers, as detailed on the Pricing page at donia.cloud. Current plans include:

  • Starter — entry-level access for small teams, with limited workflow executions and standard support;
  • Professional — expanded capacity, advanced modules (Document Intelligence, Workforce Analytics), and priority support;
  • Enterprise — unlimited usage within contracted scope, dedicated onboarding, SLA guarantees, and custom integrations. Pricing is agreed individually.

All prices are listed exclusive of applicable VAT and other taxes unless stated otherwise. For customers in the European Union, Italian VAT (IVA) may apply in accordance with applicable EU VAT regulations.

We reserve the right to change pricing with at least 30 days' written notice prior to your next renewal date. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.

5. Billing, Payment and Renewal

Subscriptions are billed in advance on a monthly or annual basis, as selected at checkout. By providing a payment method, you authorize us (or our payment processor) to charge the applicable subscription fee on a recurring basis.

  • Annual plans are non-refundable once the billing cycle has started, except as required by applicable law or in cases of material service failure attributable to donia.
  • Monthly plans may be cancelled at any time; the cancellation takes effect at the end of the current billing period.
  • If a payment fails, we will notify you and attempt to recharge the payment method. After 7 days of non-payment, access to the Service may be suspended until payment is received.
  • All invoices are issued electronically and comply with Italian electronic invoicing requirements (Sistema di Interscambio – SDI) where applicable.

For Enterprise customers, payment terms are as agreed in the Order Form or Master Services Agreement.

6. Free Trial

We may offer a free trial period of up to 14 days ("Trial"). During the Trial, you have access to the Service features specified in the trial configuration. The following conditions apply:

  • Only one trial per organization is permitted. Attempts to circumvent this restriction (e.g., registering with a different email or company name) may result in termination of all associated accounts.
  • At the end of the Trial, your account will be automatically converted to a paid subscription unless you cancel before the trial period expires.
  • Data created during the Trial will be preserved upon conversion to a paid plan. If you do not convert, data may be permanently deleted 30 days after trial expiration.
  • We reserve the right to modify or terminate trial offerings at any time without notice.

7. Data Processing and Privacy

Your privacy is important to us. Our Privacy Policy describes how we collect, use, and protect personal data. By using the Service, you acknowledge and agree to our data practices as described therein.

Where you upload or process data that includes personal data of third parties (e.g., employee records, operator timesheets), you act as the Data Controller and we act as the Data Processor under Regulation (EU) 2016/679 (GDPR). In such cases, a Data Processing Agreement ("DPA") is incorporated by reference into these Terms and is available upon request at privacy@donia.ai.

You represent and warrant that:

  • You have a lawful basis for processing all personal data you upload to the Service;
  • You have obtained all necessary consents or established all necessary legal grounds for data processing under applicable law;
  • You will not upload data classified as Special Category Data under GDPR (e.g., health data, biometric data) unless specifically authorized in writing.

We will process personal data only on your documented instructions, will implement appropriate technical and organizational security measures, and will not sub-process data to third parties without your knowledge and appropriate contractual safeguards.

8. Intellectual Property Rights

Logikamente s.r.l. owns all rights, title, and interest in and to the Service, including all underlying technology, software, algorithms, AI models, user interfaces, trademarks, and documentation. Nothing in these Terms grants you ownership of or license to any of our intellectual property beyond the limited right to use the Service as described herein.

Your data remains yours. You retain all ownership rights to any data, content, or workflows you create or upload through the Service ("Customer Content"). You grant donia a limited, non-exclusive, royalty-free license to process Customer Content solely to provide and improve the Service.

We do not use Customer Content to train our AI models without your explicit consent. Aggregated, anonymized, and non-identifiable usage data (e.g., feature engagement metrics) may be used to improve the Service.

You may not reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service. You may not create derivative works based on the Service or use the Service to build a competing product.

9. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any manner that violates applicable Italian, EU, or international laws or regulations;
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure;
  • Transmit viruses, malware, or other harmful code;
  • Use the Service to process data in ways that are discriminatory, harassing, or otherwise harmful to individuals;
  • Use automated means (bots, scrapers) to access or extract data from the Service in ways not authorized by the API documentation;
  • Resell, sublicense, or make the Service available to third parties outside of permitted user seats, unless acting as a certified donia partner;
  • Use the Service in production environments involving safety-critical systems (e.g., medical devices, nuclear facilities, aviation) without prior written authorization from donia;
  • Interfere with or disrupt the integrity or performance of the Service or its related infrastructure.

We reserve the right to investigate and, where necessary, suspend or terminate access for violations of this policy.

10. Service Availability and Support

We target a monthly uptime of 99.5% for the core Service (excluding scheduled maintenance windows, force majeure events, and issues attributable to third-party infrastructure providers). Uptime is measured on a rolling 30-day basis and excludes:

  • Scheduled maintenance (announced at least 48 hours in advance);
  • Incidents caused by Customer actions or third-party services outside donia's control;
  • Force majeure events as defined under Italian law.

Service Level Agreement (SLA) credits, where applicable, are specified in the Enterprise Order Form. Starter and Professional plan subscribers are not entitled to SLA credits but may request support via the standard support channels.

Support is available in Italian and English. Response times vary by plan:

  • Starter: Email support, next business day response;
  • Professional: Email and chat support, response within 4 business hours;
  • Enterprise: Dedicated support, 24/7 for critical issues, response within 1 hour.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Logikamente s.r.l. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or in connection with these Terms or the use of the Service, even if advised of the possibility of such damages;
  • Our total aggregate liability to you for all claims arising under or related to these Terms shall not exceed the total fees paid by you in the 12 months immediately preceding the event giving rise to the claim;
  • We do not warrant that the Service will be error-free, uninterrupted, or that AI-generated outputs will be accurate, complete, or suitable for any specific operational decision. You are solely responsible for validating AI outputs before acting on them in production environments.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under applicable Italian law (including the Italian Consumer Code, where applicable).

12. Indemnification

You agree to indemnify, defend, and hold harmless Logikamente s.r.l. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your access to or use of the Service in violation of these Terms;
  • Your Customer Content, including any claim that it infringes a third party's intellectual property rights or violates applicable law;
  • Your violation of any applicable law or regulation;
  • Any misrepresentation made by you in connection with the Service.

13. Termination

By you: You may terminate your subscription at any time by navigating to account settings at donia.cloud or by contacting support@donia.ai. Termination takes effect at the end of your current billing period. No refund is issued for the remaining period of an annual subscription unless termination is due to our material breach.

By us: We may suspend or terminate your access immediately if:

  • You materially breach these Terms and fail to remedy the breach within 15 days of written notice;
  • We are required to do so by law or court order;
  • We reasonably believe continued access poses a risk to the security or integrity of the Service;
  • Your account remains inactive (no login, no active workflows, no API calls) for more than 12 consecutive months on a free or unpaid plan.

Upon termination, your right to access the Service ceases. You may request an export of your Customer Content within 30 days of termination. After this period, we will delete your data in accordance with our data retention policy and applicable law.

14. Governing Law and Jurisdiction

These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of Italy, without regard to its conflict of law provisions.

For disputes between donia and business customers (B2B), the parties agree to submit to the exclusive jurisdiction of the courts of Ferrara, Italy. Before initiating formal proceedings, the parties agree to attempt resolution through good-faith negotiations for a period of 30 days.

For disputes involving consumer customers (as defined under the Italian Consumer Code, Legislative Decree 206/2005), mandatory consumer protection provisions of the applicable Member State of the EU shall apply. EU Online Dispute Resolution is available at ec.europa.eu/consumers/odr.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last updated" date at the top of this page;
  • Send an email notification to the primary account holder at least 30 days before the changes take effect (for material changes that adversely affect your rights);
  • Display a notice within the Service dashboard.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the effective date.

For minor changes (e.g., corrections, clarifications, or updates required by law), we may update these Terms without individual notification.
